TERMS AND CONDITIONS

("IMPORTANT - PLEASE READ THESE TERMS AND CONDITIONS ("THE AGREEMENT") CAREFULLY. BY ACCESSING SHOWBOX APP AND ITS WEBSITE, YOU AGREE TO BE BOUND BY THE FOLLOWING TERMS AND CONDITIONS. IF YOU DO NOT ACCEPT ANY OF THESE TERMS OR CONDITIONS, YOU MUST IMMEDIATELY DISCONTINUE YOUR USE OR SHOWBOX APP AND/OR USE OF ITS WEBSITE.")

YOUR ACCOUNT AND MEMBERSHIP

All registered users of Showbox app ("the App") will automatically become Showbox members ('Members'). All actions undertaken when using the App must abide by Showbox's Terms and Conditions, including all modifications, in order to proceed smoothly.

Members may log in to Showbox via Facebook, or register for an account via email. There will be no cost incurred in becoming a Member.

Members agree to provide accurate and complete information when they register with, and as they use, the App ("Showbox Registration Data"). Members also agree to update their Showbox Registration Data to keep it accurate and complete; should there be any changes, including but not limited to, a Member's email address and mobile number, he/she is obliged to immediately email to contact@goshowbox.co to inform of the changes. Showbox Group Pte. Ltd. ("Showbox Group") will not be responsible for any losses incurred from delays by Members in updating their Showbox Registration Data.

SUSPENSION AND TERMINATION OF ACCOUNT

Neither virtual private network (VPN) or PROXY server is allowed for downloading the apps or completing other offers in Showbox. Once any dishonest, fraudulent, or inappropriate use of the app is discovered, the Member's account will be suspended or terminated without notice, and the points and redeemed rewards within in will be forfeited.

In general, if any Member fails, or Showbox Group suspects that he/she has failed, to comply with any of the provisions of the Terms and Conditions, Showbox Group, at its sole discretion, without notice to the Member, may: (i) suspend or terminate his/her account and/or (ii) preclude access to the App service (or any part thereof)."

USAGE RULES

After viewing advertisements on their lock screens or downloading hot apps recommended by the App, Members get to accumulate points; the number of points will vary with different advertisements and time periods.

Cash coupons and gift vouchers that are redeemed will only be delivered via normal mail and within Singapore. During the delivery process, any mistakes or other reasons leading to Members not receiving their redeemed items will not be compensated with replacement items or the refunding of points.

Examples of unacceptable content or behavior during the use of the app or website include:

Towards any Member who is involved in any of the above unacceptable content or behaviour, Showbox Group reserves the right to pursue the matter and claim any damages.

TEAM MODE

User can use the app under team mode to earn points together as a team. Please make sure you input valid referral code of the team leader to work under his/her team.

CONTENT AVAILABILITY / MODIFICATION

With the accumulated points, Members may redeem rewards under the App's "Rewards Centre" segment. However, Showbox Group reserves all rights to amend or cancel at any point in time the available redeemable gifts and services, without prior notice.

Showbox Group reserves all rights to modify, increase, decrease or cancel the points within any Member's account, without notice.

Showbox Group also reserves all rights to modify, suspend, or discontinue at any time without notice: (i) the processes by which rewards are redeemed; (ii) the number of points needed for redeeming a reward; and (iii) the ways by which points are allocated. Showbox Group will not be liable to Members should it exercise such right; Members may not raise objections to such modifications, and cannot therefore ask for compensation of any kind.

PRIVACY

The App Services and the use of Members' Showbox Registration Data are subject to Showbox's Privacy Policy at http://www.goshowbox.co/privacy_c/.

Members agree to let Showbox Group, our business partners and participating merchants of the App Services to use their Showbox Registration Data as allowed under the Privacy Policy.

Members understand and agree that while using the App, the security of their information cannot be 100% guaranteed during transmission; unauthorized data mining by third parties or other illegal means of obtaining information from computer networks may compromise the security of members' information at any time. Showbox Group will however, upon receiving members' information, properly store and keep them confidential to the best of its ability so as to avoid unnecessary losses to members.

Showbox Group reserves the right to take steps it believes are reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement. Members agree that Showbox Group has the right, without liability to them, to disclose any Registration Data and/or Account information to law enforcement authorities, government officials, and/or a third party, as it believes is reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement (including but not limited to its right to cooperate with any legal process relating to a Member's use of the App Services or other Products, and/or a third-party claim that the Member's use of the App Services and/or their Products is unlawful and/or infringes such third party's rights.

COPYRIGHT AND TRADEMARK NOTICES / INTELLECTUAL PROPERTY

Except as otherwise expressly stated herein, all contents of the App and its website ("all Contents") - including, but not limited to, HTML coding, software, scripts, graphics, audio clips, video clips, photos, statistics or logos - either are the copyright and intellectual property of the App and its licensor - Showbox Group - and/or its business partners and/or its subsidiaries (together "the Parties"), or are used with authorization from the Parties. As such, no member is allowed to alter, copy, reproduce, create derivative works, re-launch, display, upload, post, transmit or publish all Contents in whole or in part in any manner without the prior written consent of the Parties - including, but not limited to, text, images, hyperlinks, wallpaper, and lock screen displays - unless clearly permitted in the Terms and Conditions.

All registered trademarks, service marks, copyrights, patents and trade secrets ("registered trademarks etc") used in the App and its websites are the property of the Parties. No licence or right is granted and Member's use of the App and/or access to its website should not be construed as granting, by implication, estoppels or otherwise, any license or right to use any trademarks, service marks, copyrights, patents and trade secrets appearing on the App or its website without the prior written consent of the Parties.

Any unauthorized use of the aforesaid Contents and registered trademarks etc infringes on the intellectual property rights of others and may subject Members to civil and criminal penalties, including possible monetary damages, for copyright infringement.

HYPERLINKS / THIRD-PARTY MATERIALS

Showbox Group may provide links to third-party websites as a convenience to members. Such linked websites are not under the control of Showbox Group and the company cannot accept responsibility for the contents of, privacy policy of, or the consequences of accessing any linked website or any link contained in, a linked website. Furthermore, the hyperlinks provided shall not be considered or construed as an endorsement or verification of such linked websites or the contents therein by Showbox Group. Members agree that their access to and/or use of such linked websites are entirely at their own risks and subject to the terms and conditions of access and/or use contained therein; Showbox Group does not warrant and will not have any liability or responsibility for these materials and websites.

DISCLAIMERS/ DISCLAIMER OR WARRANTIES; LIABILITY LIMITATION

Members agree and understand that:

Members' use of the App and its website are at their own discretion and risk; the service provided by the App and the information and materials contained in or accessed through the App and its website are provided on an "as is" basis. No warranty of any kind, implied, express or statutory - including but not limited to, warranties of merchantability, non-infringement of third-party intellectual property rights, and fitness for a particular purpose and freedom from computer/software virus and other malicious code - is given in conjunction with such service, information and materials, or the App and its website in general.

The Parties do not guarantee the following: (i) that the Service will meet Members' requirements; (ii) that the Service will be timely, secure and without disruption, and is currently or in the future at any time without errors or omissions; (ii) that what results from the use of the Service is absolutely true or reliable; (iv) that any product, service, information or merchandise, or other materials obtained through the Service will meet Members' expectations; and (v) that all defects within the App can be corrected. The Parties expressly disclaim liability for any errors in, or omissions from, information and materials contained in or accessed through use of the Service.

Downloading or otherwise obtaining any information and materials through the use of the App is done at Members' own discretion and risk; they will be solely and fully responsible for this purpose and any outcomes that follow. In no event shall the Parties be liable to Members for any damages, losses, expenses or costs whatsoever - including but not limited to, any damage or loss of data from computers, mobile devices and mobile operating systems, any redeemed items that gets lost or damaged in the delivery process - arising in connection with their use of the App and its website or reliance on any information and materials provided by the App and its website.

In the following cases, the App will suspend or discontinue all or part of the Services, and Showbox Group disclaims any liability for any direct or indirect losses thereby incurred to Members:

INCORPORATED TERMS AND CONDITIONS

YOU HEREBY AGREE THAT ALL TERMS AND CONDITIONS PUBLISHED BY GOOGLE PLAY, INCLUDING BUT NOT LIMITED TO THE FOLLOWING (WHICH SHALL INCLUDE ALL MODIFICATIONS, CHANGES AND AMENDMENTS PUBLISHED BY GOOGLE PLAY FROM TIME TO TIME) SHALL BE INCORPORATED INTO THIS AGREEMENT AND YOU SHALL FULLY COMPLY WITH ALL SUCH TERMS AND CONDITIONS:

MISCELLANEOUS

By default, Members agree to receive information from Showbox Group via electronic mail (e-mail) or short messaging service (sms). However, if Members reject such an authorization, it is their responsibility to email to contact@goshowbox.co to inform Showbox Group.

CHANGES

The information and materials herein are subject to change - including, but not limited to, modification, addition, deletion or replacement thereof - at any time without notice. Such changes will be effective immediately and incorporated into this Agreement. Members' continued use of the Service will be deemed acceptance thereof. Following and completing the registration process for a Showbox account also implies Members' total agreement with the Terms and Conditions, including all its modifications. All Members are obliged to regularly review these Terms and Conditions.

In the event of any disputes over Showbox, the app's developing company, Showbox Group Pte. Ltd., retains the right to the final say.
